Terms of Service
The terms that govern your access to and use of Solidlio.
1. Agreement to these terms
These Terms of Service ("Terms") are a legal agreement between you (and the organization you represent) and Tridacom IT Solutions Inc. ("Tridacom", "Solidlio", "we", "us", or "our") governing your access to and use of the Solidlio websites, applications, and services (the "Services"). By creating an account, subscribing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.
2. Definitions
- “Account” means the account you register to access the Services.
- “Customer Data” means the content and data you or your users submit to the Services.
- “Subscription” means a paid or free plan governing your access to the Services.
- “End Client” means a client of a Customer that provides IT or managed services to others using the Services.
3. Accounts, roles, and responsibilities
You must provide accurate registration information and keep it current. You are responsible for maintaining the confidentiality of your credentials and for all activity under your Account, and you must enable available security measures such as multi-factor authentication where required.
The Services use role-based access controls. You are responsible for assigning roles appropriately and for the actions of your users. You must be of legal age to form a binding contract to use the Services.
4. Subscriptions, plans, and trials
The Services are offered under free and paid plans with different features and usage limits. We may offer free trials. We may change plan features and limits, and will use reasonable efforts to notify you of material changes. Certain features consume usage-based credits (for example, AI features); credits and their consumption are described in the applicable plan materials.
5. Billing, payment, and taxes
Paid Subscriptions are billed in advance on a recurring basis unless otherwise stated. We accept payment by credit card and pre-authorized debit (PAD) through our payment processor, and may offer post-paid electronic funds transfer (EFT) or e-transfer for eligible customers. You authorize us to charge your selected payment method for all fees, applicable taxes, and renewals.
Fees are stated in the currency shown at checkout and are exclusive of taxes unless stated otherwise; you are responsible for applicable taxes. Subscriptions renew automatically for successive terms unless cancelled before the renewal date. We may change prices on renewal with prior notice.
6. Acceptable use
Your use of the Services must comply with our Acceptable Use Policy, which is incorporated into these Terms. We may suspend or limit access for violations, including activity that threatens the security or integrity of the Services.
7. Customer Data and privacy
As between you and us, you own your Customer Data. You grant us a worldwide, non-exclusive licence to host, process, and transmit Customer Data solely to provide and support the Services and as you direct. Our handling of personal information is described in our Privacy Policy. You are responsible for obtaining any necessary consents for the data you submit.
8. Our intellectual property
The Services, including all software, content, and trademarks (other than Customer Data), are owned by Tridacom or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your Subscription. You may not copy, modify, reverse engineer, resell (except as expressly permitted), or create derivative works from the Services.
9. AI features and credits
The Services include AI-assisted features that generate outputs based on your inputs. AI outputs may be inaccurate, incomplete, or unsuitable for your purpose, and must not be relied on as professional, legal, financial, or technical advice. You are responsible for reviewing AI outputs before relying on them. AI features may consume credits as described in your plan.
10. Third-party integrations
The Services may integrate with third-party products (for example, accounting, distributor, email, and productivity services). Your use of those products is governed by their own terms, and we are not responsible for third-party products. Integrations are provided “as available” and may change or be discontinued.
11. White-label and reseller use
If you use the Services to provide services to your own End Clients (including under your own branding), you are solely responsible for your relationship with, and obligations to, those End Clients, including support, billing, and compliance with applicable law. You will ensure your End Clients’ use complies with these Terms and the Acceptable Use Policy.
12. Confidentiality
Each party may access the other’s confidential information in connection with the Services. The receiving party will protect it with reasonable care and use it only as needed to perform under these Terms, except where disclosure is required by law.
13. Disclaimers
Except as expressly stated, the Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or related to the Services will not exceed the amounts you paid to us for the Services in the twelve months before the event giving rise to the claim.
15. Indemnification
You will defend, indemnify, and hold harmless Tridacom from claims, damages, and costs arising from your Customer Data, your use of the Services in violation of these Terms or applicable law, or your relationship with your End Clients, except to the extent caused by our breach of these Terms.
16. Suspension and termination
You may cancel your Subscription at any time; cancellation takes effect at the end of the current term unless otherwise stated. We may suspend or terminate access if you materially breach these Terms, fail to pay, or create risk to the Services or others. Upon termination, your right to use the Services ends, and we will make Customer Data available for export for a limited period before deletion, subject to our Privacy Policy and applicable law.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.
18. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and provide notice as appropriate. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
19. General
- Assignment: you may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or sale of assets.
- Severability: if any provision is unenforceable, the remaining provisions remain in effect.
- Entire agreement: these Terms, the Acceptable Use Policy, and the Privacy Policy are the entire agreement between the parties regarding the Services.
- Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
- No waiver: failure to enforce a provision is not a waiver of it.
